The short version

The first year

The least a Florida LLC can cost in a normal year is $237.75: our $99 and the state's $138.75. A corporation's annual report is $150.

The first annual report

A new company does not file an annual report in the year it is formed. The first one is due the following year, between January 1 and May 1, however late in the year the company was formed. An LLC formed in December files its first report within five months.

The report is not a financial statement. It confirms the company's addresses, its managers or members and its registered agent.

What it costs to miss May 1

After May 1 the annual report costs an LLC $538.75 instead of $138.75. The $400 late fee is set by statute.

A company that still has not filed by the third Friday of September is administratively dissolved at the close of business on the fourth Friday.

A dissolved company can be brought back. Florida charges a $100 reinstatement fee for an LLC plus the annual report fee for every year missed, and our fee to prepare and file the reinstatement is $349.

We start reminding every client ninety days before the deadline.

What is not on this list

These figures cover the state filing and the registered agent. They do not cover taxes, a local business tax receipt from your county or city, industry licenses or what a bank charges. Those depend on what the company does and where, and an accountant is the right person to ask about the tax side.
